DrillingOperation and MaintenanceContract

Joint Stock Company “Sakhalin East” (hereinafter referred to as Company) and Limited Liability Company “Offshore Drilling” (hereinafter referred to as Contractor) desire to concludethe Contractfor operations and maintenanceby Contractorof a certaindrilling rigin connection with Company’s oil and gas operationsin Sakhalin Island.

Article 1 – Subjectof the Contract

1.1. Contractorshall participatein installation, start upequipment and drillthe wellsspecified by Company. Contractorshall operate and maintaindrilling equipment and systemson the Orlan Drilling Rig.

Article 2 – Scopeof Work

2.1. Contractorshall furnishthe supervisory, technical and Drilling Rigcrewpersonnelwith required skillsto perform Drilling Rig operations, repairs, maintenance, and trainingin support of Company’s petroleum explorationand producing operationsin accordance with the terms of the Contract. Contractoris responsiblefor managementof operation and maintenanceof the Drilling Rig, and for providing the required logistics, warehousing, maintenance, and support Activitiesallowing the Drilling Rig to be operatedin accordance with applicable law and good oilfield practices.

2.2. Contractorhas listed the personswhowill havesupervisoryauthorityover the Work and with whomCompany’srepresentativesmay coordinatethe performanceof Work. Contractor’srepresentativewill be responsiblefor Work and is empowered to actfor Contractorin all everyday operational mattersrelating to Contractor’s performance of Work. Noticesconcerning operations, which are transmitted to Contractorthrough its designated representatives, shall be deemed to have beensufficientlygivenfor purposes of this Contract.

2.3. Contractorshall operate and performWorkin accordance with given operational instructions and in strict conformity with Health, Safety, Environmental, Quality System and all applicable Laws, standards, specifications, regulations, codes and procedures applicable to Work.

2.4. Contractorrepresents and warrants that Contract Equipmentprovided by Contractoris properly designated and constructedfor the Work and isfullyoperational and capableof performingin accordance with its specifications.

2.5. Contractorshall transportat own riskany spare or repair parts or other Contract Equipmentin a commercially reasonable mannerunder the circumstances.

2.6. Contractorshall loadaboard and install or assistin installing Third Party and Company Equipmentat suitable locations. The installation workshall be performed, or caused to beperformed, by Contractorin a manner satisfactory to Company or the respective Third partyin accordance with the engineering plans and specifications supplied by Company or the Third Party.

Article 3 – Termof the Contract.

3.1. T his Contractshall be effectiveas of the date Company signs this Contract and shall be validthereafterfor 5 years.

Article 4 – Termination and Suspension

4.1. Companyhasthe rightat any time and without causeto terminate this Contract or any part of Workby giving 15 days notice to Contractor.

4.2. If Companyterminatesthis Contract or anypartof the Workaccording to this sub-article, Companyshall payto Contractortheunpaidbalancedue to Contractorfor Workcompleted, that comprises the costsof materials and subcontracted servicesreasonably and properly ordered by Contractor.

Article 5 - Acceptanceof the Contract

In witness whereof, the partiesheretohave signed this Contractin duplicate originals.
